These terms govern your use of the Ludex analytics platform and services.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Ludex Analytics, Inc. ("Ludex", "we", "us", or "our") governing your access to and use of the Ludex analytics platform and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, accessing, or using our Service, you confirm that you are at least 18 years old and have the authority to bind yourself or the organization on whose behalf you are accepting these Terms. If you do not agree to these Terms, you may not use the Service.
Ludex provides a cloud-based business analytics platform that enables customers to connect data sources, build dashboards, analyze data, and generate reports. The specific features available to you depend on the subscription plan you have selected.
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:
We reserve the right to suspend or terminate accounts that violate these Terms or that we believe pose a security risk.
Access to certain features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected. All fees are non-refundable except as required by law or as expressly stated in these Terms.
We may change our pricing at any time. We will provide at least 30 days' notice of price increases via email before they take effect. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.
If payment fails, we will notify you and may suspend your account until payment is successfully processed. For annual subscriptions, we will attempt to process payment three times before suspending the account.
We may offer a free trial period for new accounts. At the end of the free trial, your account will automatically convert to the plan you selected during registration. You may cancel before the end of the trial period to avoid charges. We reserve the right to modify or discontinue free trial offers at any time.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
You retain all rights to the data you upload to or generate using the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to the extent necessary to provide the Service to you.
You represent and warrant that: (a) you have all necessary rights to provide Customer Data to us; (b) Customer Data does not violate any applicable law; and (c) your use of Customer Data through the Service does not infringe third-party rights.
We will process Customer Data in accordance with our Privacy Policy and any applicable Data Processing Agreement.
The Service, including all software, features, content, and designs, is owned by Ludex and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term solely for your internal business purposes.
You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer the Service.
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent. This obligation survives termination of these Terms for a period of 3 years.
We target 99.9% monthly uptime for the Service. If we fail to meet this target in any calendar month, you may request a service credit equal to 10% of the monthly fee for each hour of downtime exceeding the target, up to a maximum of 30% of the monthly fee. Service credits are your sole and exclusive remedy for downtime. Enterprise customers with SLAs in their agreements should refer to those agreements.
Either party may terminate these Terms at any time. If you cancel your subscription, your access will continue until the end of the current billing period, after which your account will be deactivated. We reserve the right to terminate your account immediately for material breach of these Terms, including but not limited to non-payment, violation of acceptable use policies, or illegal activity.
Upon termination, we will retain your Customer Data for 30 days to allow export, after which it will be permanently deleted.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUDEX'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL LUDEX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas.
We may modify these Terms at any time. We will notify you of material changes by email and by posting notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
